This Terms of Service and Privacy Policy (the "Agreement") is a legally binding contract between you ("User", "you", or "your") and GoPrice ("Company", "we", "us", or "our"), governing your access to and use of the GoPrice mobile application, website, and all related services, features, and content (collectively, the "Service").
BY ACCESSING, DOWNLOADING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND MUST DISCONTINUE USE IMMEDIATELY. This Agreement constitutes the entire agreement between you and GoPrice regarding the Service, superseding any prior agreements.
The Service is intended solely for users who are thirteen (13) years of age or older. Any registration by, use of, or access to the Service by anyone under 13 is unauthorized and in violation of these Terms. If you are between the ages of 13 and 18 (or the age of majority in your jurisdiction), you represent that you have obtained the consent of a parent or legal guardian to use the Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement.
To access certain features, you must create a user account. You are solely responsible for: (a) maintaining the confidentiality of your account credentials; (b) the accuracy, completeness, and truthfulness of all information provided; and (c) all activities that occur under your account. You agree to notify GoPrice immediately of any unauthorized use of your account. GoPrice shall not be liable for any loss or damage arising from your failure to comply with this security obligation.
The Service allows you to submit, upload, and publish photos, pricing data, store locations, and other materials ("User Content"). You retain ownership of your User Content; however, by submitting User Content to the Service, you hereby grant GoPrice a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully sub-licensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content (in whole or in part) in any media or technology now known or later developed for any purpose whatsoever, including for commercial, advertising, and promotional purposes.
You waive any "moral rights" you may have in the User Content. You represent and warrant that you own or have the necessary licenses and consents to grant the rights above and that your User Content does not infringe the intellectual property or privacy rights of any third party.
You agree not to engage in any of the following prohibited activities:
GoPrice acts as a passive conduit for User Content. We have no obligation to monitor User Content; however, we reserve the right, at our absolute discretion, to: (a) remove, edit, or block User Content that we deem violates this Agreement or is otherwise objectionable; (b) suspend or terminate accounts for repeated violations; and (c) cooperate with law enforcement or regulatory authorities regarding any User Content.
You acknowledge that the Service utilizes proprietary artificial intelligence and machine learning algorithms to process submitted images and extract data. You understand that: (a) AI processing is inherently probabilistic and may produce errors; (b) you are responsible for validating the accuracy of extracted data before final submission; and (c) GoPrice shall have no liability for errors, omissions, or misidentifications caused by the AI systems.
GOPRICE IS A COMMUNITY-DRIVEN PLATFORM. THE INFORMATION PROVIDED IS FOR GENERAL INFORMATIONAL PURPOSES ONLY.
GoPrice does not guarantee the accuracy, completeness, or reliability of any pricing, product information, or store availability displayed. Retail prices are subject to rapid change. You must verify all prices directly with the retailer prior to purchase. GoPrice is not responsible for any financial loss, disappointment, or damage resulting from reliance on pricing information found on the Service.
GoPrice may award virtual points ("Points") for user contributions. Points are a limited, non-transferable, revocable license and DO NOT CONSTITUTE PROPERTY, HAVE NO MONETARY VALUE, AND ARE NOT REDEEMABLE FOR CASH. We reserve the right to modify or terminate the Points program at any time without notice or liability to you.
Your privacy is important to us. We collect personal information (email, nickname, birthdate) and usage data to provide and improve the Service. We do not sell your personal data to third parties. By using the Service, you consent to our collection and use of data as described in this Agreement and acknowledge that your User Content (excluding personal account data) will be visible to other users.
To provide relevant pricing, the Service requests access to your device's GPS coordinates. Location sharing is optional but required for certain features. You acknowledge that your location at the time of a submission will be associated with that submission and made public to other users.
The Service integrates with third-party providers (e.g., OpenStreetMap, Cloudflare, Google). Use of these features is subject to those third parties' terms. GoPrice is not responsible for the performance, reliability, or content of any third-party service.
All right, title, and interest in and to the Service, including the GoPrice name, logo, software code, UI/UX design, and aggregated databases, are the exclusive property of GoPrice and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes only.
You agree to indemnify, defend, and hold harmless GoPrice and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of this Agreement; or (d) your violation of any third-party right, including intellectual property or privacy rights.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOPRICE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOPRICE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF GOPRICE EXCEED THE TOTAL SUM OF ONE UNITED STATES DOLLAR (USD $1.00).
This Agreement remains in effect while you use the Service. GoPrice may terminate or suspend your access to the Service or your account at any time, for any reason or no reason, without notice. Upon termination, all licenses granted to you shall cease immediately, and provisions relating to ownership, indemnification, and limitation of liability shall survive.
GoPrice reserves the right to modify these terms at any time. We will provide notice of material changes by updating the "Version" date at the top of this page. Your continued use of the Service following the posting of changes constitutes your acceptance of such changes.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of the Service's primary operations, without regard to conflict of law principles. You agree that any legal action or proceeding shall be brought exclusively in the courts located within such jurisdiction.
YOU AND GOPRICE AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR GOPRICE WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, REPRESENTATIVE ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.
This Agreement constitutes the entire agreement between you and GoPrice. Our failure to exercise or enforce any right shall not operate as a waiver. If any provision is held invalid, the remainder shall continue in full force. You may not assign your rights under this Agreement without our prior written consent.
